These Terms of Service ("Terms") govern the installation, configuration, and use of the Babelcom intercom and access control system ("the System"), provided by Zero Admin (Pty) Ltd ("we", "us", "our"), a company registered in South Africa. By deploying or using the System, you agree to these Terms.
We grant the Operator a non-exclusive, non-transferable licence to use the System solely for access control and intercom purposes at the designated premises. This licence does not permit resale, sublicensing, or deployment at premises other than those agreed during onboarding.
The Operator is responsible for:
The System may not be used to:
All rights in the System, including firmware, software, algorithms, and documentation, remain the property of Zero Admin (Pty) Ltd or its licensors. Nothing in these Terms transfers any intellectual property rights to the Operator or End User.
We will provide security updates for supported versions of the System. Support terms, response times, and update schedules are as specified in the applicable service agreement. We reserve the right to discontinue support for older versions with reasonable notice.
The System is provided to assist with access control and intercom functions. It does not guarantee physical security. We make no warranty that the System will be uninterrupted or error-free. The System should not be relied upon as the sole security measure for any premises.
To the maximum extent permitted by applicable law, Zero Admin (Pty) Ltd shall not be liable for any indirect, incidental, or consequential loss arising from use of the System, including loss arising from unauthorised access, system failure, or data breach not caused by our gross negligence or wilful misconduct. Our total aggregate liability shall not exceed the fees paid for the System in the twelve months preceding the claim.
The Operator agrees to indemnify and hold harmless Zero Admin (Pty) Ltd from any claims, damages, or expenses arising from the Operator's unlawful use of the System, violation of these Terms, or failure to comply with applicable law.
Either party may terminate these Terms with 30 days written notice. We may terminate immediately in the event of a material breach of these Terms or applicable law. Upon termination, the Operator must cease use of the System and, where applicable, return or destroy any licensed software.
These Terms are governed by the laws of the Republic of South Africa. Any disputes shall be subject to the jurisdiction of the South African courts.
We may update these Terms from time to time. Material changes will be communicated to registered Operators with at least 30 days notice. Continued use of the System after that period constitutes acceptance of the updated Terms.
